This course is an advanced examination of the legal aspects of the ways that corporations raise finance. The course focuses on the forms of corporate finance and on the structure and regulation of capital markets. In doing so, the course will explore: the concept of capital and choices in the debt-equity mix, forms of debt finance, and issues relating to equity finance, including the regulation of capital-raising from the public.
